1. Merchant Eligibility

To register as a Merchant, you must:

• Be at least 18 years of age.
• Be legally authorized to conduct business.
• Provide accurate business information.
• Comply with all applicable laws and regulations.
• Maintain valid business registrations, where required.

2. Merchant Registration

The Merchant agrees to provide accurate and up-to-date information, including:

• Business Name
• Proprietor/Director Details
• GST Number (where applicable)
• PAN Details (where applicable)
• Registered Address
• Operational Address
• Bank Account Details
• Contact Information
• Authorized Representative Details

LogiPhex reserves the right to verify the information and request additional documentation.

3. KYC Verification

LogiPhex may require Know Your Customer (KYC) verification before activating or continuing Merchant Services.

Failure to complete KYC verification may result in suspension or termination of services.

4. Merchant Responsibilities

The Merchant shall:

• Provide accurate shipment details.
• Ensure proper packaging of goods.
• Maintain updated business information.
• Comply with courier partner guidelines.
• Pay applicable charges on time.
• Maintain compliance with applicable tax laws.
• Respond promptly to customer queries and disputes.
• Ensure that goods sold comply with all applicable laws.

5. Product Compliance

The Merchant is solely responsible for:

• Product quality.
• Product descriptions.
• Product pricing.
• Product warranties.
• Product authenticity.
• Product legality.
• Product safety.

LogiPhex does not verify or guarantee any product listed or shipped by the Merchant.

6. Prohibited Goods

Merchants shall not ship or attempt to ship:

• Illegal products.
• Counterfeit goods.
• Hazardous materials.
• Narcotics.
• Weapons.
• Explosives.
• Restricted pharmaceuticals.
• Wildlife products.
• Any goods prohibited by law or courier partner policies.

Violation may result in immediate account suspension.

7. Pricing & Charges

Applicable charges may include:

• Shipping Charges
• COD Charges
• Reverse Logistics Charges
• Insurance Charges
• Packaging Services (if availed)
• API Usage Charges
• Subscription Fees
• Platform Fees
• Other Value-Added Service Charges

Charges are subject to revision with prior notice or as permitted under the applicable service agreement.

8. Payment Terms

Merchants agree to pay all applicable fees and charges within the prescribed timelines.

Delayed payments may attract:

• Late payment charges.
• Service restrictions.
• Temporary suspension.
• Recovery proceedings.

9. COD Settlement

Where COD services are used:

• COD remittance depends on courier partner confirmation.
• Settlement timelines vary by courier partner.
• Deductions may apply for returns, disputes, taxes, or other applicable charges.
• LogiPhex shall not be liable for delays caused by courier partners or banking institutions.

10. Returns & RTO

Returned shipments shall be governed by applicable courier partner policies.

Forward and reverse logistics charges may apply.

The Merchant remains responsible for returned inventory.

11. API Usage

Merchants using LogiPhex APIs shall:

• Maintain confidentiality of API credentials.
• Comply with API documentation.
• Avoid excessive or abusive requests.
• Not reverse engineer or misuse APIs.

API access may be suspended for violations.

12. Third-Party Integrations

LogiPhex may integrate with:

• Courier Partners
• ONDC
• Shopify
• WooCommerce
• ERP Systems
• Payment Gateways
• CRM Platforms

LogiPhex does not guarantee uninterrupted availability of third-party services.

13. Intellectual Property

All trademarks, logos, software, APIs, source code, website content, documents, branding, and proprietary technology remain the exclusive property of LogiPhex Technologies Pvt Ltd.

The Merchant shall not reproduce, modify, distribute, or commercially exploit LogiPhex intellectual property without prior written consent.

14. Confidentiality

Merchants shall maintain the confidentiality of:

• Customer Information
• Shipment Data
• API Credentials
• Pricing Information
• Technical Documentation
• Business Information
• Platform Access Credentials

This obligation shall survive termination of the Merchant relationship.

15. Data Protection

Merchants shall comply with applicable data protection laws and shall process customer information only for lawful purposes.

Unauthorized sharing, sale, or misuse of customer data is strictly prohibited.

16. Suspension & Termination

LogiPhex may suspend or terminate Merchant access immediately if:

• Fraud is detected.
• KYC fails.
• Illegal products are shipped.
• Payments remain overdue.
• Platform misuse occurs.
• These Merchant Terms are violated.

17. Limitation of Liability

LogiPhex shall not be liable for:

• Product defects.
• Merchant negligence.
• Customer disputes.
• Lost business.
• Indirect or consequential damages.
• Third-party service failures.

The total liability of LogiPhex shall not exceed the amount paid by the Merchant for the affected services, unless otherwise required by applicable law.

18. Indemnification

The Merchant agrees to indemnify and hold harmless LogiPhex, its directors, officers, employees, affiliates, and partners against any claims, liabilities, losses, damages, costs, or expenses arising from:

• Violation of these Merchant Terms.
• Shipment of prohibited goods.
• Product defects.
• Intellectual property infringement.
• Violation of applicable laws.
• Customer claims attributable to the Merchant.

19. Governing Law & Jurisdiction

These Merchant Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts located in Navi Mumbai, Maharashtra.
