1. DEFINITIONS

For the purpose of these Terms:

API means all REST APIs, SDKs, webhooks, documentation and related technical services provided by LogiPhex.

Developer means any individual or organization integrating with LogiPhex APIs.

Application means software, website or mobile application developed using LogiPhex APIs.

Customer Data means all information submitted through the APIs.

API Key means authentication credentials issued by LogiPhex.

Services means all logistics, courier aggregation, shipment creation, tracking, label generation, rate calculation, order management and related services provided by LogiPhex.

2. ACCEPTANCE OF TERMS

By using our APIs you confirm that:

• You have authority to bind your organization.
• All information provided during registration is accurate.
• You agree to comply with all applicable laws.
• You accept these Terms without modification.

If you do not agree with these Terms, you must not use the APIs.

3. ELIGIBILITY

API access is available only to:

• Registered businesses
• Approved partners
• Authorized developers
• Enterprise customers
• Marketplace sellers
• Logistics service providers

LogiPhex reserves the right to reject any API access request without assigning any reason.

4. ACCOUNT REGISTRATION

To access the APIs you may be required to:

• Create a LogiPhex account.
• Complete KYC verification.
• Submit GST details where applicable.
• Verify email and mobile number.
• Execute additional agreements if requested.

Providing false information may result in immediate suspension.

5. API KEYS

Upon approval, LogiPhex may issue:

• API Key
• Secret Key
• Client ID
• Client Secret
• OAuth Credentials
• Access Tokens

These credentials are confidential.
You must:

• Keep credentials secure.
• Never share credentials publicly.
• Rotate compromised credentials immediately.
• Notify LogiPhex of any suspected unauthorized access.

6. AUTHENTICATION

All API requests must use approved authentication methods.
Unauthorized requests may be:

• Rejected
• Logged
• Rate limited
• Suspended

Repeated authentication failures may temporarily block API access.

7. API RATE LIMITS

LogiPhex may impose limits including:

• Requests per minute
• Requests per hour
• Daily transaction limits
• Concurrent connection limits

Exceeding these limits may result in:

• HTTP 429 responses
• Temporary throttling
• Temporary suspension
• Permanent restriction for repeated abuse

Rate limits may change without prior notice.

8. PERMITTED USE

You may use the APIs solely for legitimate business purposes including:

• Shipment booking
• Shipment tracking
• Order synchronization
• Label generation
• Courier selection
• Logistics automation
• Marketplace integration
• Warehouse management
• ERP integration
• CRM integration
• Shipping analytics

Use beyond the intended functionality is prohibited.

9. PROHIBITED USE

You shall NOT:

• Attempt unauthorized access.
• Circumvent security mechanisms.
• Reverse engineer the APIs.
• Modify API responses.
• Create fake shipments.
• Generate fraudulent labels.
• Abuse rate limits.
• Launch denial-of-service attacks.
• Upload malicious code.
• Interfere with system availability.
• Misrepresent shipment information.
• Conduct illegal activities.
• Use APIs for spam.
• Scrape internal systems.
• Create competing services using LogiPhex APIs.

10. DATA ACCURACY

You agree that all submitted information including:

• Customer names
• Addresses
• Mobile numbers
• Product information
• Shipment values
• Weight
• Dimensions

shall be accurate and lawful.

Incorrect information may lead to shipment delays, additional charges or service suspension.

11. THIRD-PARTY SERVICES

LogiPhex integrates with various third-party service providers including:

• Courier partners
• Payment gateways
• Identity verification providers
• SMS gateways
• Email providers
• Government platforms
• Marketplace platforms

Use of such services may also be governed by their own terms and policies.

LogiPhex is not responsible for third-party outages.

12. WEBHOOKS

If webhooks are enabled:

• You are responsible for maintaining secure endpoints.
• Retry failures are subject to system configuration.
• Webhook payloads must not be modified.
• LogiPhex does not guarantee delivery in all circumstances.

13. DATA SECURITY

Developers shall:

• Use HTTPS.
• Encrypt sensitive information.
• Protect API credentials.
• Maintain secure infrastructure.
• Restrict employee access.
• Implement appropriate firewalls.
• Conduct regular security updates.

Failure to maintain reasonable security may result in API suspension.

14. PRIVACY COMPLIANCE

Developers must comply with all applicable privacy and data protection laws.
Customer information shall only be used for legitimate logistics operations.
Selling or sharing customer data without authorization is strictly prohibited.

15. SERVICE AVAILABILITY

While LogiPhex aims for high availability, APIs are provided on an “as available” basis.

Scheduled maintenance, upgrades, technical issues or third-party outages may temporarily affect availability.

No uptime guarantee is provided unless specifically agreed under a separate Service Level Agreement (SLA).

16. API CHANGES

LogiPhex may:

• Add new endpoints.
• Remove obsolete endpoints.
• Modify request formats.
• Update response structures.
• Change authentication methods.
• Introduce API versions.

Developers are responsible for updating their integrations.

17. VERSIONING

Older API versions may be deprecated.
Reasonable notice may be provided before permanent discontinuation.
Continued support for outdated versions is not guaranteed.

18. FEES

Certain APIs may be chargeable.
Applicable charges may include:

• API usage fees
• Per transaction charges
• Monthly subscription fees
• Enterprise licensing fees
• Support fees

Failure to pay applicable fees may result in suspension.

19. INTELLECTUAL PROPERTY

All APIs, software, documentation, trademarks, logos and related intellectual property remain the exclusive property of LogiPhex Technologies Pvt Ltd.
No ownership rights are transferred to users.

20. CONFIDENTIALITY

You agree to keep confidential:

• API documentation
• Technical specifications
• Authentication methods
• Security mechanisms
• Internal workflows
• Non-public information

Confidential information shall not be disclosed without prior written consent.

21. MONITORING

LogiPhex may monitor API usage to:

• Detect fraud
• Prevent abuse
• Improve services
• Ensure security
• Maintain platform stability

Such monitoring may include automated analysis and security logging.

22. SUSPENSION

LogiPhex may immediately suspend API access if:

• Fraud is detected.
• Security is compromised.
• Payment defaults occur.
• Laws are violated.
• API abuse occurs.
• False information is submitted.
• System integrity is threatened.

Suspension may occur without prior notice.

23. TERMINATION

Either party may terminate API access.

Upon termination:

• API credentials become invalid.
• API access shall cease immediately.
• Outstanding payments remain payable.
• Certain obligations including confidentiality and liability survive termination.

24. DISCLAIMER

The APIs are provided on an “AS IS” and “AS AVAILABLE” basis.

LogiPhex makes no warranties regarding:

• Continuous availability
• Error-free operation
• Compatibility
• Merchantability
• Fitness for a particular purpose

Use of the APIs is entirely at your own risk.

25. LIMITATION OF LIABILITY

To the maximum extent permitted by law, LogiPhex shall not be liable for:

• Indirect damages
• Incidental damages
• Consequential damages
• Loss of revenue
• Loss of profits
• Business interruption
• Data loss
• Reputation loss

Total liability shall not exceed the fees paid by the user for the affected services during the preceding three (3) months.

26. INDEMNIFICATION

You agree to indemnify and hold harmless LogiPhex, its directors, officers, employees and affiliates from any claims, damages, liabilities, losses or expenses arising from:

• Your API usage
• Violation of these Terms
• Violation of applicable laws
• Third-party claims
• Intellectual property infringement
• Data misuse

27. GOVERNING LAW

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts located in Navi Mumbai, Maharashtra.

28. FORCE MAJEURE

LogiPhex shall not be liable for delays or failures caused by events beyond reasonable control including:

• Natural disasters
• Floods
• Earthquakes
• Fire
• War
• Government actions
• Internet outages
• Cyber attacks
• Power failures
• Pandemic events

29. MODIFICATIONS

LogiPhex may revise these Terms at any time.

Updated Terms shall become effective upon publication on the official website.
Continued use of the APIs constitutes acceptance of the revised Terms.
